UK GENERAL CONDITIONS OF SALE

GENERAL

These terms and conditions shall apply to all trading between you, the customer and us. Acceptance by us of your order is conditional upon acceptance by you of the following conditions which override so far as permitted under the Sale of Goods Act 1979 and the Unfair Contracts Terms Act 1977 all other terms and conditions, warranties or representations expressly implied or otherwise inconsistent therewith.
Any variation of these conditions shall only be binding if agreed by us in writing. Any stipulation or condition on a customer’s order form shall be inapplicable to any order placed with us unless expressly agreed to, by us, in writing.

PERFORMANCE

Every effort will be made to ensure the due performance of our contract but we accept no responsibility if we are delayed or prevented from performing it from any cause beyond our control.

TIME

Statements made by us as the time or dates of supply are to be treated as an estimate based on current conditions.

UNLOADING

The customer is to release the delivery vehicle expeditiously and be responsible for any extra charge caused by undue delay.

PACKING & CONTAINERS.

All prices are inclusive of any individual product packaging but exclusive of all containers including baskets, bins, crates and pallets. Therefore, upon delivery to your premises the product will be emptied out of any containers.

SHORTAGES AND DEFECTS APPARENT ON INSPECTION

Save as hereinafter provided if the customer wishes to make a claim in respect of shortage of defect apparent on inspection he shall give notice to us within two days failing which the goods shall be deemed to have been supplied in good condition and in accordance with the supply documents. Without prejudice to the foregoing if the customer is required by any carrier to sign any document he shall take care to comply with any conditions thereon. As regard this clause time shall be the essence of the contract.

DEFECTS NOT APPARENT ON INSPECTION

If a customer wishes to make a claim in respect of defect not apparent on inspection he shall give written notice within two days after the defect is noticed.

WARRANTIES AND EXCLUSION OF LIABILITY

We warrant that the product will at the time of delivery comply with all relevant statutory requirements. I any item is defective at the time of delivery we will replace it free of charge or withdraw our charge at our opinion.
Save as herein provided and subject to the Sale of Goods Act 1979 and the Unfair Contracts Act 1977 we shall be under no liability howsoever arising in respect of any defect in the product or any loss or damage or injury resulting there from including consequential loss.

TITLE AND RISK

Title in the product sold by us shall pass to you the Customer when we have received payment in full therefore. You should keep the product clearly identified as our property and shall hold the product as bailee only for us until the date of payment. If you resell the product before payment in full is received by us you shall hold the proceeds of sale on behalf of us until payment is received by us. If you default in the punctual payment of any sum due we or our agents may enter any premises in which the unpaid for product is situated for the purposes of removing it.

Notwithstanding the foregoing the product shall be at the risk of the Customer from the time of delivery.

PRICES

All products are sold at the prices quoted from time to time. We reserve the right to change our prices without prior notice.

PAYMENT

For new accounts payment will be made by a registered VISA or MasterCard.  For customers with approved accounts each invoice is due for payment within 14 days from date of invoice. If any invoice becomes overdue for payment we reserve the right to require payment of all outstanding invoices.

VALUE ADDED TAX

All quotations and offer prices are exclusive of VAT which if applicable will be added to the rate applying at the relevant tax point.

ENGLISH LAW

Every contract to which these conditions apply shall be construed and operate in accordance with the English Law and all disputes to the jurisdiction of the English Courts.
